Terms and Conditions Reflections West Art Online Auction 1. Introduction Welcome to our online art auction platform. By participating in the auction, you acknowledge and agree to abide by the following terms and conditions. Please read them carefully before registering or placing any bids. 2. Registration and Eligibility 2.1 All participants must be at least 18 years old and legally capable of entering into binding contracts. 2.2 Registration is required to bid. You must provide accurate, complete, and up-to-date information during registration. 2.3 We reserve the right to verify your identity and refuse or revoke registration at our discretion. 3. Auction Process 3.1 All artworks are offered for sale by auction, with bidding conducted online through Biddify. 3.2 Each auction will specify its start and end times, and may include reserve prices, minimum increments, and other specific rules. 3.3 Bids are binding commitments to purchase. Once submitted, bids cannot be withdrawn unless permitted by law or specific auction rules. 3.4 We are not required to accept the highest or any bid at the close of the auction. 4. Artworks and Descriptions 4.1 All artworks are described as accurately as possible, including medium, dimensions, provenance, and condition. 4.2 Images and descriptions are provided for informational purposes only. We recommend contacting us for additional information or to request condition reports. 4.3 Colours and details may vary depending on your device and display settings. 5. Payment 5.1 Successful bidders will receive an invoice by email the day after the close of the auction. 5.2 Payment must be made in full within three (3) business days of the auction’s end, using approved payment methods (e.g., credit card, cheque, bank draft or e-transfer. Wires will be accepted on request). 5.3 All prices are listed in Canadian dollars (CAD) unless otherwise specified. 5.4 Failure to pay within the specified timeframe may result in cancellation of the sale and forfeiture of your right to the artwork. 6. Taxes and Fees 6.1 Applicable taxes (e.g., GST) will be added to the final purchase price. 6.2 Any import/export duties or additional fees are the responsibility of the purchaser. 7. Shipping and Collection 7.1 Shipping arrangements and costs are the responsibility of the buyer unless otherwise stated. 7.2 We offer assistance with packaging and shipping, including recommendations for preferred carriers. 7.3 Risk of loss or damage passes to the buyer upon collection by the carrier. 7.4 Buyers may arrange to collect artworks in person at our designated location on Tuesday, December 2, 2025 from 12pm - 7pm (MST), Wednesday, December 3, 2025 from 12pm - 7pm (MST) or by appointment. 8. Returns and Refunds 8.1 All sales are final. Returns or refunds are not accepted except in cases of misrepresentation or as required by law. 8.2 If you believe an artwork has been misrepresented, contact us within three (3) business days of receipt to initiate a review. 9. Intellectual Property 9.1 Copyright in all artworks remains with the artist unless otherwise indicated. 9.2 Images and descriptions on our platform may not be reproduced or used without permission. 10. Limitation of Liability THE ATWORKS ARE BEING SOLD ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF BIDDIFY, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED ON THE AUCTION PLATFORM. YOU EXPRESSLY AGREE THAT YOUR USE OF THESE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK. WE HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. 10.1 We are not liable for any indirect, incidental, or consequential damages arising from participation in the auction or use of our platform. 10.2 Our total liability to any participant is limited to the amount paid for the artwork in question. 11. Governing Law 11.1 These terms and conditions are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. 11.2 Any disputes shall be resolved in the courts of the Province of Alberta located in the Judicial District of Calgary. 12. Amendments 12.1 We reserve the right to amend these terms and conditions at any time. Changes will be posted on Biddify and will take effect immediately. 13.
